Terms of Service

These Terms of Service (“Terms”) govern your access to and use of APOC Wire and the GlobalPress press release distribution service available at https://apocwire.com (the “Service”), operated by APOC Co., Ltd. (“APOC,” “we,” “us,” or “our”). By accessing or using the Service, creating an account, or submitting content for distribution, you (“you,” “Customer,” or “Issuer”) agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
APOC Wire is a multilingual press release distribution platform. We distribute press releases and related materials submitted by issuers across multiple language and country editions and to third-party media outlets, news aggregators, and other channels. APOC acts as a distributor of content on behalf of issuers. We are not the author of, and do not endorse, verify, or assume responsibility for, the statements, claims, or accuracy of submitted content.
2. Eligibility and Accounts
You must be at least the age of majority in your jurisdiction and capable of forming a binding contract. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your account credentials and for all activity under your account.
3. Customer Content and License
You retain ownership of the content you submit (“Customer Content”). By submitting Customer Content, you grant APOC a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to host, store, reproduce, translate, adapt and reformat (for distribution purposes), publish, distribute, syndicate, index, archive, publicly display, and otherwise use the Customer Content in connection with operating and promoting the Service and delivering distribution. This license continues, with respect to content already distributed, on a perpetual and irrevocable basis for archival and historical-record purposes, even after termination of your account.
4. Your Representations and Warranties
You represent and warrant that: (a) you own or have all rights, licenses, consents, and permissions necessary to submit the Customer Content and to grant the license above; (b) the Customer Content is accurate and not misleading; (c) the Customer Content, and its distribution, does not infringe or violate any third party's intellectual property, privacy, publicity, or other rights, and does not violate any law or regulation; and (d) you have obtained all necessary consents for any individuals or third parties identified in the Customer Content.
5. Content Standards and Right to Refuse
You agree to comply with our Content Standards, which are incorporated into these Terms by reference. We may, at our sole discretion and without liability, review, reject, delay, edit or reformat, decline to distribute, suspend, or remove any Customer Content, in whole or in part, for any reason or no reason, including suspected violation of these Terms, our Content Standards, or applicable law.
6. No Guarantee of Results
The Service provides distribution only. We do not guarantee, and you should not expect, any specific outcome, including publication, pickup, placement, syndication, ranking, indexing, inclusion by Google News or any other aggregator or platform, audience size, traffic, leads, or other results. Decisions by third-party media outlets, platforms, and aggregators to accept, modify, decline, or remove content are made independently and are entirely outside our control.
7. Fees and Payment
Fees, credits, and applicable terms are as set out in your order, plan, or the applicable pricing in effect. Unless expressly stated otherwise, fees are non-refundable, and amounts become non-refundable once distribution has commenced. You are responsible for all applicable taxes. We may change our fees prospectively.
8. Third-Party Media and Platforms
The Service relies on, and distributes to, third-party media, aggregators, and platforms. We are not responsible or liable for the availability, conduct, decisions, content, policies, or actions of any third party, including any modification, refusal, delay, or removal of content.
9. Intellectual Property of the Service
The Service, including its software, design, text, graphics, trademarks, and other materials (excluding Customer Content), is owned by or licensed to APOC and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service solely as permitted by these Terms. All rights not expressly granted are reserved.
10. Prohibited Conduct
You agree not to: use the Service in violation of any law or these Terms; submit content prohibited by our Content Standards; infringe any third-party rights; introduce malware or attempt to disrupt, gain unauthorized access to, or interfere with the Service; or misuse the Service for fraudulent, deceptive, or abusive purposes.
11. Suspension and Termination
We may suspend or terminate your access to the Service, or remove content, at any time, with or without notice, including for any violation of these Terms or our Content Standards, or to comply with law. Upon termination, your right to use the Service ceases; sections that by their nature should survive (including content licenses for distributed material, disclaimers, limitations of liability, and indemnification) will survive.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL BE DISTRIBUTED, PUBLISHED, OR RETAINED BY ANY THIRD PARTY.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APOC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. APOC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO APOC FOR THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless APOC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or relating to: (a) your Customer Content; (b) your use of the Service; (c) your violation of these Terms or our Content Standards; or (d) your violation of any law or third-party right.
15. Corrections and Removal
Requests for correction, update, or removal of distributed content are handled in accordance with our Content Standards and Corrections & Removal policy. We will address valid legal complaints as appropriate but are otherwise under no obligation to alter or remove content once distributed.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan, without regard to its conflict-of-laws rules. You agree that the Tokyo District Court will have exclusive jurisdiction as the court of first instance over any dispute arising out of or relating to the Service or these Terms.
17. Changes to These Terms
We may modify these Terms from time to time. Material changes will be indicated by updating the “Last updated” date or by other appropriate means. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
18. Miscellaneous
If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. These Terms, together with our Content Standards and Privacy Policy, constitute the entire agreement between you and APOC regarding the Service. We will not be liable for any delay or failure to perform due to causes beyond our reasonable control. These pages are provided in English; in the event of any conflict between the English version and a translation, the English version controls.
